Important: any order placed on the Site implies acceptance of these general terms and conditions of sale (the “Terms”). We invite you to read, print or save them before placing an order.
1. Scope and definitions
The Terms apply to any sale of products concluded on the Site between the Seller and a consumer. They prevail over any other terms and conditions of the Customer. They do not confer on the Customer the status of employee, agent or representative of the Seller.
- Customer: any natural person of legal age, acting for purposes outside the scope of any commercial, industrial, craft, liberal-profession or agricultural activity, who places an order on the Site.
- Account: the Customer’s personal area, which contains their information, orders and invoices.
- Login details: the e-mail address and password chosen by the Customer to access their Account.
- Products: the products offered for sale on the Site.
- Delivery: the handing over of the Product to the Customer, or to a third party designated by the Customer, at the address given when ordering.
- Territory: the countries to which the Seller agrees to deliver, as offered when ordering.
2. Customer account
The Customer may place an order after creating an Account, or by ordering as a guest when this option is offered. Registration is free of charge.
- The Customer must be of legal age and have the legal capacity to enter into contracts.
- The Customer undertakes to provide accurate and complete information and to keep it up to date.
- The Customer may create only one Account.
- The Customer’s Login details are personal and confidential. Any login made with these Login details is presumed to have been made by the Customer. If fraudulent use is suspected, the Customer must inform the Seller without delay.
The Seller may ask the Customer to provide proof of identity. In the event of a breach of the Terms or of fraud, the Seller may restrict access to the Site, or suspend or delete the Account, without prejudice to any other remedy.
3. Products
The essential characteristics of each Product are presented on its product page. Photographs, illustrations and technical documents are provided for information purposes only, particularly when they come from the manufacturers. The Customer must read this information carefully before ordering, in particular to make sure that the Product is compatible with their installation (voltage, power, dimensions, connectors, references of the existing equipment).
Unless otherwise stated on the Site, the Products are new and comply with the applicable European and French regulations. For any question regarding compatibility or product choice, the Customer may contact the Seller before ordering; the advice given does not replace the opinion of a qualified installer where the installation requires it.
The Seller may change its product range depending on its suppliers’ constraints.
4. Orders
4.1. Order process
- The Customer chooses the Products, their options and quantities, then adds them to the cart.
- The Customer logs in or creates an Account, enters the billing and delivery addresses, then chooses the delivery method and payment method.
- The Customer checks the order summary (Products, quantities, prices, delivery costs, addresses, payment method, lead times), may correct any errors, then accepts the Terms.
- The Customer confirms the order by clicking the “Order with an obligation to pay” button (or equivalent wording). This confirmation constitutes a firm order.
The Customer may also place an order by telephone on +33 (0)9 75 81 14 30; these Terms apply in the same way.
4.2. Confirmation
The Seller confirms the order online and by e-mail to the address provided by the Customer. The order date is the date of this confirmation; the stated lead times run from this date and, for delivery, from receipt of full payment. The Seller does not send confirmations by post or by fax.
4.3. Refusal of orders
The Seller may refuse or suspend an order for a legitimate reason, in particular in the event of an unresolved payment dispute relating to a previous order, an incomplete address, suspected fraud or a Product that has become unavailable. The Customer is informed accordingly and any sums already paid are refunded.
5. Prices
Prices are shown in euros, including all taxes (VAT at the rate in force on the order date), excluding delivery costs. Delivery costs, calculated according to weight, volume, address and the chosen transport method, are displayed before the order is confirmed. The price paid is the price displayed on the order date, including delivery costs.
The Seller may change its prices at any time, without affecting orders already confirmed. In the event of an obvious display error (for example a manifestly derisory price), the Seller may cancel the order concerned and refund the Customer.
For any delivery outside mainland France, any customs duties, taxes and import formalities payable in the destination country are the responsibility of the Customer.
6. Payment
6.1. Payment methods
Payment in full is due when the order is placed. The Customer may pay by bank card, bank transfer or cheque, or by any other method offered at the time of ordering. The Customer warrants that they hold the necessary authorisations to use the chosen payment method.
- Bank card: payment is secured and processed by our payment service provider. The Seller never has access to your full bank details and does not store them. The Customer’s account is debited when the order is placed.
- Bank transfer: our bank details are displayed at the end of the ordering process and sent by e-mail. Please quote the order number as the transfer reference. The order is prepared as soon as we are notified of the payment, and is generally shipped on the same day the funds reach our account.
- Cheque: the cheque must be made payable to ADVANCED POWER SYSTEMS S.A.S and sent to our registered office address (see above), with the order number written on the back. The order is prepared and shipped as soon as the cheque has been received and validated.
6.2. Late or refused payment
If card payment is refused by the bank, the order is cancelled and the Customer is informed by e-mail. For bank transfers and cheques, if payment has not reached the Seller within ten (10) days of the order, or if it is refused or unpaid, the order is automatically cancelled.
6.3. Fraud prevention
To secure payments, the Seller may request supporting documents (proof of identity, proof of address, proof of the payment method). If no response is received, the Seller may cancel the order and refund the Customer.
6.4. Invoicing
The invoice is available and can be printed from the Customer’s Account. The Customer may request a paper copy at [email protected]. Neither the order summary nor its acknowledgement of receipt constitutes an invoice.
7. Product availability
Offers are valid while stocks last and, for Products not held in stock, subject to availability from our suppliers. If an ordered Product is unavailable, the Seller informs the Customer without delay. The Customer then chooses, depending on the options available:
- to wait until the Product is back in stock and receive the entire order in a single shipment;
- to receive the available Products immediately, then the rest of the order as soon as possible, subject to clear information on any additional shipping costs;
- to accept an equivalent Product offered by the Seller;
- to cancel the order for the unavailable Product(s). The Seller then refunds the sums paid no later than thirty (30) days after payment.
8. Delivery
8.1. Area and lead times
The Products are delivered to the address provided by the Customer when ordering, within the Territory. Unless otherwise stated on the product page or during the ordering process, the estimated delivery times, from full payment, are:
- 2 to 3 working days for delivery in France;
- 7 to 10 working days for delivery within the European Union.
These times include order preparation, dispatch and transport. They may be extended if the Customer modifies the order while it is being processed. The Seller delivers no later than thirty (30) days after the conclusion of the contract, unless otherwise agreed. If delivery has not taken place on the scheduled date, the Customer may, after having requested the Seller to deliver within a reasonable additional period, terminate the contract by registered letter or by any other written communication on a durable medium, in accordance with article L.216-2 of the Code de la consommation.
The transit times announced for each delivery method, including express services, are those provided by the carriers, as estimates. For express delivery, the Seller undertakes to ship the order as quickly as possible and to hand the parcel to the express service chosen by the Customer; delivery “in 1 working day” is the carrier’s target and does not constitute a guaranteed delivery date. These provisions do not deprive the Customer of the rights granted by Article L.216-2 of the French Consumer Code.
8.2. Tracking and charges
As soon as the order is shipped, the Customer receives an e-mail containing the parcel tracking number. Delivery charges are displayed before the order is confirmed. Free shipping only applies where the offer expressly states so, for delivery in mainland France, excluding islands not connected to the mainland by a toll-free bridge.
8.3. Handover of the parcel
If the Customer is absent when the carrier calls, a delivery notice informs the Customer how to collect the parcel or arrange a new delivery attempt. If the address is incorrect or incomplete to the point of preventing delivery, a new delivery may be arranged at the Customer’s expense.
Delivery to a pick-up point. The parcel is kept at the pick-up point for the period set by the carrier. As soon as the parcel ships, the Seller e-mails the Customer the tracking number and link: it is the Customer’s responsibility to follow the parcel and collect it within that period, even if the carrier’s notice or SMS has not been received. The Customer ensures that the mobile phone number and e-mail address given when ordering are correct. If the parcel is not collected in time, it is returned to the Seller; it will only be re-sent once the Customer has paid new delivery costs at the current rate. The same applies to a parcel not claimed after a delivery notice.
8.4. Inspection upon receipt
The Customer checks the condition of the parcel and its contents in the presence of the delivery driver, before signing the delivery note. If the parcel is damaged, opened, incomplete or does not match the order, the Customer must:
- refuse the parcel or record precise, dated, written reservations on the delivery note;
- confirm these reservations to the carrier by registered letter within three (3) working days of receipt, and inform the Seller without delay.
Any parcel refused or returned due to damage or error is replaced at no cost to the Customer or, if the Customer prefers, refunded using the same means of payment as that used for the purchase. The Seller is responsible for the Product until it is delivered to the Customer.
9. Right of withdrawal
9.1. Principle and time limit
In accordance with articles L.221-18 et seq. of the Code de la consommation, the Customer has fourteen (14) days to withdraw, without having to give any reason or pay any penalty. This period runs from the day on which the Customer, or a third party designated by the Customer other than the carrier, takes physical possession of the Product. Where the order comprises several Products delivered separately, the period runs from receipt of the last Product. If the period expires on a Saturday, a Sunday or a public holiday or non-working day, it is extended until the next working day.
9.2. How to withdraw
The Customer notifies the Seller of their decision by means of an unambiguous statement: from their Account (return request section), by e-mail to [email protected], by post to the registered office address, or by using the form provided in the appendix (its use is not compulsory). The Seller acknowledges receipt. It is sufficient to send the notification before the fourteen-day period expires.
9.3. Return of the Products
The Customer returns the Products to the following address, without undue delay and no later than fourteen (14) days after communicating their decision to withdraw:
ADVANCED POWER SYSTEMS S.A.S – Returns
1671 avenue Maréchal de Lattre de Tassigny, 06360 Èze, France
- The Products must be returned complete, with their accessories, instructions and documents, preferably in their original packaging and properly protected for transport. Please enclose a copy of the invoice or the order number.
- The direct cost of returning the Products is borne by the Customer. For bulky or heavy Products that cannot normally be returned by post, the Customer may ask the Seller for an estimate of the return cost before proceeding with the return.
- The Customer may only be held liable for any diminished value of the Product resulting from handling other than what is necessary to establish its nature, characteristics and proper functioning. The Customer may therefore unpack and test the Product as they would in a shop; however, a Product that has been installed, used or damaged, or that is incomplete, may give rise to a deduction from the refund, proportionate to the depreciation observed.
9.4. Refund
The Seller refunds all sums paid, including the initial standard delivery charges, without undue delay and no later than fourteen (14) days from the date on which it is informed of the decision to withdraw. It may withhold the refund until it has received the Products back or until the Customer has supplied proof of having sent them back, whichever is earlier. The refund is made using the same means of payment as that used for the purchase, unless the Customer expressly agrees to another means, and at no cost to the Customer. Any additional costs resulting from a delivery method more expensive than the standard method offered are not refunded.
9.5. Exceptions
In accordance with article L.221-28 of the Code de la consommation, the right of withdrawal cannot be exercised in particular for: goods made to the Customer’s specifications or clearly personalised; goods liable to deteriorate or expire rapidly; sealed goods which are not suitable for return for reasons of hygiene or health protection and which have been unsealed after delivery; goods which, after delivery and by their nature, are inseparably mixed with other items; sealed software and recordings which have been unsealed after delivery.
9.6. Promotional offers
Where a discount is conditional on the purchase of a specific number of Products or on receiving a gift, the Customer must, in order to be refunded in full, return all the Products concerned (including the gift). Failing this, the Seller adjusts the price by charging the difference between the non-promotional price of the Products kept and the price actually paid, or the value of the gift kept.
10. Legal warranties
All Products are covered by the legal warranties, the essential provisions of which are restated by the Seller. They apply at no cost to the Customer, independently of any commercial warranty granted by the manufacturer.
10.1. Legal warranty of conformity (articles L.217-3 et seq. of the Code de la consommation)
- The Seller is liable for any lack of conformity existing at the time the Product is delivered and becoming apparent within two (2) years of delivery. For a new Product, any defect becoming apparent during this period is presumed to have existed at the time of delivery: the Customer does not have to prove its existence.
- The Customer chooses between repair and replacement of the Product. The Seller may refuse this choice if its cost is manifestly disproportionate compared with the other option. The Product is brought into conformity at no cost to the Customer, within a reasonable period not exceeding thirty (30) days from the Customer’s request, and without major inconvenience to the Customer.
- If repair and replacement are impossible or disproportionate, or have not been carried out within this period, the Customer may obtain a price reduction or the termination of the sale with a refund.
10.2. Legal warranty against hidden defects (articles 1641 to 1649 of the Code civil)
The Seller is liable for hidden defects in the Product which make it unfit for its intended use, or which impair that use to such an extent that the Customer would not have purchased it, or would only have paid a lower price for it, had they known of them. The Customer may choose between the termination of the sale (return of the Product in exchange for a refund of the price) or keeping the Product in exchange for a price reduction. Proceedings must be brought within two (2) years of the discovery of the defect.
10.3. Manufacturer’s commercial warranty
Many Products are also covered by their manufacturer’s commercial warranty, the duration and conditions of which are shown on the Product page or in the documentation supplied with it. This warranty is in addition to the legal warranties, which remain applicable in all circumstances.
10.4. Making a warranty claim
To make a warranty claim, the Customer contacts customer service, stating the order number, a description of the defect and, if possible, photographs. It is recommended to keep the original packaging, which some manufacturers require in order to honour their warranty. The cost of returning the defective Product is borne by the Seller under the legal warranties.
11. Retention of title and risk
The Seller remains the owner of the Products delivered until the price has been paid in full. The risk of loss or damage passes to the Customer at the moment when the Customer, or a third party designated by the Customer other than the carrier, takes physical possession of the Products.
12. Liability
The Seller is automatically liable for the proper performance of the distance contract, unless it proves that the non-performance is attributable to the Customer, to a third party unconnected with the provision of the services, or to an event of force majeure. Nothing in the Terms limits the rights the Customer derives from the mandatory provisions of consumer law, nor the Seller’s liability in the event of personal injury.
The Seller is not liable for the temporary unavailability of the Site (maintenance, updates, breakdown or cyber-attack), nor for the content of third-party websites to which the Site links. The installation, modification or diversion of a Product for a use other than that intended by its manufacturer is the Customer’s responsibility. Electrical connection or installation work must be entrusted to a qualified professional where required by regulations or by the manufacturer.
13. Customer reviews
The Site allows the Customer to publish reviews of the Products. The Customer remains responsible for their reviews, which must be genuine, comply with the law, third-party rights and public order, and must not contain any insulting, defamatory, discriminatory, hateful or violent remarks, nor any commercial promotion. The Customer may only write one review per Product. The Customer grants the Seller, free of charge, the right to reproduce and publish their reviews on the Site, worldwide, for the duration of their legal protection. To report a review that appears unlawful or contrary to the Terms, please write to [email protected].
14. Personal data
ADVANCED POWER SYSTEMS S.A.S is the controller of the personal data collected on the Site, in accordance with Regulation (EU) 2016/679 (“GDPR”) and the French “Informatique et Libertés” Act.
- Purposes and legal bases: processing orders, deliveries and warranties (performance of the contract); issuing invoices and complying with our accounting and legal obligations (legal obligation); managing the customer relationship and preventing fraud (legitimate interest); sending you offers and newsletters if you have consented to this or, for customers, about similar products (with the option to object at any time); measuring the Site’s audience and improving how it works (consent where required by regulations).
- Data concerned: identity, contact details, addresses, order history, communications with customer service, technical browsing data. Bank card data is processed by our payment service provider and is not stored by the Seller.
- Recipients: the Seller’s internal departments and its service providers involved in order processing, payment, delivery, hosting and sending messages, within the limits of their respective tasks. The Site is hosted on the Seller’s own servers in France. Its technical service providers include Cloudflare, Inc. (United States), which ensures the security and speed of the Site (all pages pass through its network in encrypted form; it blocks attacks and malicious bots and caches certain files such as images, style sheets and scripts), and Mailjet SAS (France), which delivers the e-mails sent by the Seller (order confirmations, invoices, delivery tracking, customer service replies).
- Transfers outside the European Union: Cloudflare may process certain technical data (IP address, browser information, pages visited) outside the European Union, in particular in the United States. These transfers are governed by the EU–US Data Privacy Framework, to which Cloudflare adheres, and by the European Commission’s standard contractual clauses.
- Retention periods: for the duration of the business relationship, then three years from the last contact for marketing purposes; ten years for accounting documents and invoices; a maximum of thirteen months for cookies.
- Your rights: access, rectification, erasure, restriction, objection, portability, and instructions regarding what happens to your data after your death. To exercise these rights: [email protected] or by post to the registered office address, providing proof of your identity. You can also unsubscribe from marketing communications from your Account or via the unsubscribe link included in each message, and lodge a complaint with the CNIL (www.cnil.fr).
- Cookies: you can accept or refuse audience measurement and personalisation cookies via the consent banner and configure your browser to block them. Some cookies are strictly necessary for the operation and security of the Site and do not require your consent: shopping cart, login to your Account and the security cookies set by Cloudflare (for example “__cf_bm”, which distinguishes visitors from bots and expires after 30 minutes).
15. Customer service, complaints and mediation
Customer service can be reached by telephone on +33 (0)9 75 81 14 30 (Monday to Friday, 9 a.m. to 12 noon and 2 p.m. to 6 p.m.), by e-mail at [email protected] or by post: ADVANCED POWER SYSTEMS S.A.S, 1671 avenue Maréchal de Lattre de Tassigny, 06360 Èze, France.
In the event of a dispute, the Customer first sends a written complaint to the Seller. If this is not resolved within a reasonable time, a Customer who is a consumer has the right to refer the matter to a consumer mediator free of charge, with a view to the amicable resolution of the dispute, in accordance with articles L.611-1 et seq. of the Code de la consommation. The contact details of the competent mediator are available on simple request to [email protected].
16. Intellectual property
The elements of the Site (texts, images, sounds, logos, trademarks, databases, technical elements) are protected by copyright, trademark law and, where applicable, patent law. They are the exclusive property of the Seller or its partners. Any reproduction or use without written authorisation is prohibited. A simple hyperlink to the Site is permitted; “framing” and “in-line linking” techniques are prohibited.
The Site’s catalogue (product pages, specifications, prices, photos) is a database protected by Articles L.341-1 et seq. of the French Intellectual Property Code. Its automated extraction or re-use, in whole or in substantial part (copying the site, automated price monitoring, copying texts or photos by robots or software), is prohibited without the Seller’s written authorisation. Indexing by search engines and consultation by search and artificial intelligence assistants remain permitted under the conditions set out in the Site’s robots.txt file.
17. Evidence and archiving
The data recorded by the Seller is authoritative between the parties, unless proven otherwise. Contracts for an amount of €120 incl. VAT or more are archived for ten (10) years, in accordance with articles L.213-1 and D.213-1 of the Code de la consommation, and a copy is provided to the Customer on simple request to [email protected].
18. Changes to and validity of the Terms
The Seller may amend the Terms at any time. The applicable Terms are those in force on the date of the order, with no effect on orders already placed. If any clause is declared null and void or unenforceable, the other clauses remain in force. The Terms are drawn up in French; in the event of translation, only the French version is authoritative.
19. Applicable law and disputes
The Terms are governed by French law. In the event of a dispute, and failing an amicable resolution, the Customer may refer the matter, at their choice, to the court with territorial jurisdiction under the Code de procédure civile, or to the court of the place where they resided at the time the contract was concluded or the harmful event occurred. A Customer residing in another Member State of the European Union retains the benefit of the mandatory consumer protection provisions of their country of residence.
